Our firm represented U-MEDIA Communications Inc. (6470) in connection with a public tender offer announced by LITE-ON Technology Corp. (2301) on January 22, 2026. LITE-ON intends to acquire shares at NT$54 per share, with a minimum acquisition threshold of 20% and a maximum of 100% of UMEDIA’s outstanding shares.  Compared to the closing price of NT$45.35 on the announcement date, the offer represents a premium of approximately 19%. The total consideration for acquiring 100% of U-MEDIA's shares could reach up to NT$2 billion. Leveraging its core technologies and system integration capabilities, Lite-On continues to drive the development of AI computing, electrification, and smart energy infrastructure.  As data centers continue to expand, demand for edge computing and AI applications is steadily increasing, alongside rapid growth in mobile network traffic. Against this backdrop, Fixed Wireless Access (FWA) and AI-optimized Radio Access Networks (RAN) have become critical technologies, providing high-speed, high-quality connectivity while effectively managing traffic growth and ensuring reliable, low-latency end-to-end connections at scale.
